I think, however, there is an important difference between BoD as Congress
and BoD as what they are-- the head of a company.  We have the most
important check and balance of all;  the right to throw up our hands and go
play elsewhere.

The title is paper.  Should something unfortunate happen, I am not certain
the Crown can be held legally responsible in a mundane court...  not sure on
this, just musing out loud... but the Board, and the company known as the
SCA, most certainly can.

I think the Board needs to be the ultimate authority on all things regarding
the company.  It would be like the Board of Microsoft saying that their
managers have a right to override the Board's command decisions...
